Terms and Conditions of  B2B Sales


I. INTRODUCTION AND SCOPE

This document establishes the terms and conditions that govern all commercial transactions between Karun US Inc , a company specialized in the sale of products, optical frames, and sunglasses, and its buying customers. These terms and conditions shall apply to all purchase orders, sales, deliveries, warranties, and returns generated by Karun US Inc .

By engaging in any commercial transaction with Karun US Inc , the buying customers fully and unreservedly accept the terms and conditions set forth in this document. These terms and conditions shall be binding for all parties involved in a commercial transaction with Karun US Inc .

It applies to all products offered by Karun US Inc. Karun US Inc reserves the right to modify or update these terms and conditions at any time. The modifications shall take effect immediately upon communication to the customer.

II. DEFINITIONS

  • Buyer: refers to any person, company, or organization that places a purchase order for products with Karun US Inc .

  • Products: refers to all optical products offered by Karun US Inc for sale, including but not limited to optical frames, sunglasses, reading glasses, blue light glasses, and accessories.

  • Purchase order: refers to any request made by the buyer for the acquisition of products from Karun US Inc .

  • Price: refers to the total cost of the products, excluding any applicable taxes and shipping and handling charges unless otherwise specified in the document.

  • Shipping: refers to the delivery of the products to the buyer at the address specified by the buyer in the purchase order.

  • Warranty : refers to any warranty offered by Karun US Inc in relation to the sold products.

  • Return: refers to the process by which the buyer returns the products to Karun US Inc for a refund or exchange according to the sales policy.

  • Customer or buying customer: refers to the purchasing counterparty of the products from Karun US Inc.

  • End customer: refers to the person who purchases the products from the optical store or distributor that Karun US Inc sold to the buying customer.

III. OFFERED PRODUCTS 

The products offered by Karun US Inc are of the highest quality and comply with all applicable standards and regulations in the optical industry. Our products include optical frames, sunglasses, reading glasses, blue light filters, and accessories.

The prices of our products may vary depending on location, product type, and volume of purchase. Prices are subject to change without prior notice, but Karun US Inc is committed to maintaining competitive and fair prices at all times with its buying customers.

IV. PURCHASE ORDER 

To place a purchase order for products with Karun US Inc , the buyer must provide a written request that includes a detailed description of the requested products (SKU), quantity, and agreed-upon price. Karun US Inc reserves the right to accept or reject any purchase order made by the buying customer.
Every order placed at the B2B E-commerce Portal will be considered a customer purchase, and therefore will be invoiced and charged in the following Statement.

All purchase orders are subject to stock availability. In the event that any product or service is unavailable, Karun US Inc will notify the buying customer in writing and provide alternative options if available.

The buyer is responsible for providing accurate and up-to-date shipping information in the purchase order. Karun US Inc is not liable for delays or losses in the delivery of products or services due to incorrect or incomplete shipping information provided by the buyer.

The prices of products and services in the purchase order are subject to change without prior notice, but Karun US Inc is committed to maintaining the agreed-upon prices at the time of order acceptance.

All purchase orders are subject to the terms and conditions set forth in this document. By placing a purchase order, the buyer accepts the terms and conditions stated herein.

V. PRICES AND PAYMENTS

Prices are set in USD and are subject to additional taxes and shipping charges, as applicable.

The buying customer is responsible for paying the agreed-upon price stated in the purchase order for the requested products or services. Payments can be made through direct bank transfer (ACH), check, Paypal, or other payment methods agreed upon by Karun US Inc and the buying customer.


Bank transfers must be made directly to our bank account.


The buyer must make the payment on the 20th day of the following month after the purchase order is made, according to the agreement established with Karun US Inc . If the buyer wishes to cancel the purchase order after the payment has been made, Karun US Inc reserves the right to withhold a cancellation fee.

In the case that the buyer has an approved credit account with Karun US Inc , payment terms and conditions will be established separately, with a credit limit set by Karun US Inc of USD 3000.

If the buyer fails to comply with the payment terms and conditions stated in this document or in a separate credit agreement, Karun US Inc reserves the right to suspend or cancel any pending delivery of products or services.

VI. SHIPPING AND DELIVERY 

Karun US Inc strives to provide a fast and efficient shipping and delivery process for all offered products. All shipments are made through trusted shipping providers and are subject to the shipping terms and conditions set by such providers.

The buyer is responsible for providing accurate and up-to-date shipping information in the purchase order. Karun US Inc is not liable for delays or losses in the delivery of products or services due to incorrect or incomplete shipping information provided by the buyer.

Delivery times may vary depending on the destination and shipping provider. Karun US Inc will ship the welcome pack free of charge if the customer is located within the USA; otherwise, the customer will pay 50% of the shipping cost, and Karun US Inc will cover the remaining 50%. For subsequent orders other than the welcome pack, the customer will be responsible for paying the shipping expenses, except in the case of shipments to Hawaii and Costa Rica, where Karun US Inc will cover 50% of the shipping cost, and the customer will be responsible for the remaining 50%. The buyer is responsible for shipping costs and any additional customs duties or charges applicable to the purchased merchandise.

Delivery is considered complete once the product is delivered to the shipping address provided by the buyer. If the buyer is not available to receive the delivery, the shipping provider may attempt redelivery at a later date.

VII. WARRANTY AND RETURNS

Karun US Inc is committed to providing high-quality products to all its customers. All products offered by Karun US Inc are backed by a limited warranty against manufacturing defects and workmanship.

If the buying customer discovers any defect or manufacturing flaw within 30 days of product delivery, they must notify Karun US Inc immediately and provide details about the issue. If Karun US Inc determines that the problem is a manufacturing defect or workmanship issue, we commit to initiating the replacement process immediately. This means that necessary steps will be taken to replace the product with the same or a similar one, without waiting for the next purchase order. If stock is not available, Karun US Inc will issue a credit note for the product. Any other reason within 30 days will be evaluated by Karun US Inc to assess the option of an exchange or credit note. If approved, any shipping costs for the replacement will be covered by the buying customer.

If the buying customer discovers any manufacturing flaw in the products received within 2 years from the sale of the product to the end customer, they must notify Karun US Inc and provide details about the issue, along with sending a photo showing the defect to our email orders.usa@karunworld.com. If it is determined that the problem is a manufacturing defect or workmanship issue, the buying customer must exchange the product for the end customer. Karun US Inc commits to initiating the replacement process immediately. This means that necessary steps will be taken to replace the product with the same or a similar one, without waiting for the next purchase order. If stock is not available, Karun US Inc will issue a credit note for the product.

If Karun US Inc accepts a return, a credit note will be issued for the purchase price of the product, and the inclusion of the shipping cost will be evaluated on a case-by-case basis. Refunds will be issued within 90 days of receiving the returned product at Karun US Inc's distribution center.

In the case of a B2B customer requesting a merchandise swap, the limit for such a swap will be determined individually and according to the specific conditions of each case. If a swap is approved, the cost of shipping from the B2B customer's location to Karun US Inc's Distribution Center will be covered by Karun US Inc . However, the B2B customer will be responsible for covering the shipping expenses for the shipment from the Distribution Center to their location.

Karun US Inc reserves the right to reject any return that does not comply with the terms and conditions set forth in this document.

VIII. INTELLECTUAL PROPERTY AND COPYRIGHT

All content and materials available from Karun US Inc , including but not limited to images, designs, logos, text, graphics, photographs, videos, software, and codes, are the exclusive property of Karun US Inc and are protected by intellectual property laws and copyrights.

The buying customer agrees not to reproduce, duplicate, copy, or exploit for any commercial purposes any of the trade and visual materials and products offered by Karun US Inc without prior authorization.

All trademarks are the property of Karun US Inc and may not be used in connection with any product or service that is not from Karun US Inc in any manner that may cause confusion among customers or in any way that discredits or defames Karun US Inc .

Karun US Inc respects the intellectual property rights of others and expects its users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please notify us in writing, and we will provide details of the process for removing such information.

All advertising, marketing, promotional, and advertising materials in any medium (including but not limited to catalogs, print ads, radio and television commercials, flyers, sales sheets, displays, exhibition booths, point-of-sale materials, posters, banners, signs, and content or materials distributed through the internet or social media) produced by or for communication from Karun US Inc must adhere to the brand Karun US Inc guidelines defined in the Brand ID document.


Any Marketing Materials not provided by Karun US Inc must be approved through written approval. Karun US Inc may request proofs (but not limited to):

  • Color proofs and/or pre-production samples.

  • Design, storyboard, or script.

  • Finished materials, including detailed descriptions or samples of designs, copies/content, links, structure/icons, functionality, websites, etc.


Any marketing material may be approved, rejected, or subject to changes. Karun US Inc is responsible for approving within a maximum of 15 business days.


All advertising, marketing, promotional, and point-of-sale materials produced by or for Karun US Inc must follow the best practices and guidelines of Karun US Inc . The brand and its representatives may request changes in the visual presentation or product display in the store if it differs from the brand's values or guidelines at any time.

IX. LIMITATION OF LIABILITY 

In no event shall Karun US Inc , its directors, employees, affiliates, or agents be liable to you or any third party for any indirect, consequential, special, punitive, or incidental damages, including, but not limited to, damages for loss of profits, loss of use, loss of data, business interruption, or any other financial loss, even if the possibility of such damages has been previously notified.

In any case, Karun US Inc's total liability for any claim, loss, or damage, whether under contract, warranty, tort (including negligence), or any other legal theory, shall be limited to the amount paid by the buyer for the products or services subject to the dispute.

Karun US Inc shall not be liable for any failure or delay in performing its obligations under these terms and conditions when such failure or delay is due to any cause beyond its reasonable control, including, but not limited to, acts of war, terrorism, civil unrest, fires, floods, government actions, supplier failures, or disruptions in transportation or communications services.

The buyer acknowledges and agrees that this section of Limitation of Liability is essential to the negotiation between the parties and that, in its absence, the price and other terms of this agreement would be substantially different.

X. JURISDICTION AND APPLICABLE LAW

Karun US Inc stipulates that these B2B terms and conditions of sale shall be governed by and interpreted in accordance with the laws of the USA , without giving effect to any principles of conflicts of law that may require the application of the laws of another state or jurisdiction.

By accepting these B2B terms and conditions of sale, the buyer waives any right to file a lawsuit in a court and agrees that any dispute, controversy, or claim shall be exclusively resolved through arbitration.

XI. PROMOTIONS AND DISCOUNTS POLICY

From time to time, Karun US Inc may offer promotions and discounts on its products to customers who meet certain specific criteria, such as a minimum purchase volume or repeated purchases within a specified period. These promotions and discounts shall be governed by the following terms and conditions:

  • Promotions and discounts cannot be combined with other offers, promotions, or discounts unless specifically stated otherwise.

  • Promotions and discounts are subject to change without prior notice. Karun US Inc reserves the right to modify or cancel any promotion or discount at any time without liability.

  • Promotions and discounts are valid only for the specified period in the offer. No promotions or discounts will be honored after the expiration date.

  • Promotions and discounts are subject to stock availability. Karun US Inc is not responsible for the lack of stock of a promotional or discounted product or service.

  • Promotions and discounts are not redeemable for cash or any other product.

  • Promotions and discounts will only apply to the products specified in the offer.

  • Promotions and discounts will only apply to purchases made during the specified promotional period.


Karun US Inc reserves the right to cancel any order or transaction in case of detecting inappropriate use of the promotion or discount. A volume discount of up to a maximum of 0% agreed upon with the buyer is offered.

By accepting these B2B terms and conditions of sale, the buyer agrees to comply with the policies and terms of Karun US Inc's promotions and discounts.

XII. CHANGES TO TERMS AND CONDITIONS

Modification of Terms and Conditions: Karun US Inc reserves the right to modify the terms and conditions of this document at any time. The changes will become effective on the date of delivery of the new terms and conditions and will apply to all subsequent purchase orders.

  • Notification of Changes: Karun US Inc will notify the buyer of any changes to the terms and conditions by email or postal mail to the address provided by the buyer at the time of purchase. The buyer is responsible for ensuring that Karun US Inc has their updated contact information and must review the new terms and conditions before placing a new purchase order.

  • Acceptance of Changes: If the buyer does not agree with the new terms and conditions, they must notify Karun US Inc in writing within 60 days of the notification of the changes. Failure to do so will be considered acceptance of the new terms and conditions.

  • Effects of Changes: Changes to the terms and conditions will not affect ongoing purchase orders at the time of the modification. Purchase orders made after the modification will be subject to the new terms and conditions.

  • Waiver of Changes: The waiver by Karun US Inc of any right or provision of the new terms and conditions shall not be considered a waiver of other rights or provisions of the contract, and shall not affect the validity or enforceability of said contract.

XIII. NOTIFICATIONS AND COMMUNICATION

  • Method of Notification: All notifications and communications related to this document shall be in writing and sent via email. Notifications and communications shall be deemed received on the date of sending.

  • Notification Addresses: The buyer shall provide Karun US Inc with a valid and up-to-date email and mailing address to receive notifications and communications. Karun US Inc will use the information provided by the buyer to send notifications and communications related to the document. If the buyer fails to provide updated and valid information, Karun US Inc shall not be liable for any lack of notification or communication.

  • Address Changes: The buyer shall promptly notify Karun US Inc in writing of any changes to the email or mailing address. Failure to notify Karun US Inc of an address change releases Karun US Inc from any liability for lack of notification or communication.

  • Receipt Confirmation: The buyer shall confirm in writing the receipt of any notification or communication sent by Karun US Inc within 7 days of receipt. Failure to provide written confirmation shall be deemed tacit acceptance of the notification or communication.

  • Use of Third Parties: Karun US Inc reserves the right to use third parties to send notifications and communications related to the document. Karun US Inc shall not be liable for any delay or failure in delivery caused by third parties.

  • Language: Notifications and communications shall be conducted in the language in which the contract was drafted, unless otherwise agreed in writing by both parties.

  • Copies: The buyer agrees to receive electronic copies of notifications and communications sent by Karun US Inc instead of paper copies.

XIV. TRAININGS 

The buyer shall allow Karun US Inc to provide training and incentives within its stores and to its salespeople. Karun US Inc will provide access to an online training platform. If online training is not feasible, the buyer shall provide alternative training or business solutions to promote the brand.

It is strongly encouraged for each buyer to utilize this platform and its courses to provide salespeople with the necessary tools to effectively sell our products and ensure appropriate sales pitches.

Once all stores and salespeople have completed their training on the platform, the buyer will receive a certificate of support for sustainability, thereby becoming part of a select group of customers committed to sustainable practices. This material will allow customers to communicate their commitment to sustainability.
